All of the rights in the Software and any updates/modifications thereto are the sole property of the Company. The Buyer is granted a limited, non-exclusive, non-transferable licence to use the Software in connection with the Goods with which it was supplied only.

7.4 Without prejudice to any rights that have accrued under this Agreement or any of its rights or remedies, the Company may terminate this Agreement with immediate effect by giving written notice to the Buyer if:

7.4.1 the Buyer fails to pay any amount due under this Agreement on the due date for payment and remains in default not less than 14 days after being notified in writing to make that payment;

7.4.2 an Insolvency Event occurs; or

7.4.3 the Buyer suspends or ceases, or threatens to suspend or cease, carrying on all or a substantial part of its business.

7.6 Termination of this Agreement, for any reason, shall not affect the accrued rights, remedies, obligations or liabilities of the parties existing at termination, including the right to claim damages in respect of any breach of the Agreement which existed at or before the date of termination.

7.7 On termination of this Agreement for any reason, the Buyer shall as soon as reasonably practicable pay any outstanding amounts owed to the Company pursuant to this Agreement.

8. FORCE MAJEURE

If either party is subject to an event of force majeure, that is circumstances outside its reasonable control, including but not limited to acts of god, war, fire, industrial disputes or civil commotion, it shall notify the other and the first party’s obligations under this Agreement shall be suspended until it notifies the other party of the end of such event of force majeure.

9. ASSIGNMENT

9.1 The Company shall be entitled to, without the consent of the Buyer, assign or sub-contract any part of the Agreement.

9.2 The Buyer shall not be entitled to assign or sub-contract any part of the Agreement.

10. WAIVER

No failure or delay by a party to exercise any right or remedy provided under this Agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

11. NOTICE

12. DATA PROTECTION

12.1 The parties shall comply with all applicable requirements of Data Protection Law.

12.2 The parties acknowledge that, in providing or in order to provide the Services under this Agreement, the Company may have access to and, in limited circumstances, be required to process personal data (as the terms "process" and "personal data" are defined in Data Protection Law).

12.3 Although the parties acknowledge that their respective status is determined by Data Protection Law, the parties are of the view that the Buyer is the controller and that the Company is the processor (as defined in Data Protection Law) in respect of such processing.

12.4 In respect of any personal data processed by the Company in the course of providing or in order to provide the Services, the Company shall:

12.4.1 process the personal data only on documented instructions from the Buyer, unless required to do so by EU law or the national law of an EU member state to which the Company is subject (and in such a case, the Company shall inform the Buyer of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest);

12.4.2 ensure that persons authorised to process the personal data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality;

12.4.3 implement appropriate organisational and technical measures as required pursuant to Article 32 of the GDPR;

12.4.4 respect the conditions for engaging another processor referred to in paragraphs 2 and 4 of Article 28 of the GDPR;

12.4.6 assist the Buyer in ensuring compliance with the obligations pursuant to Articles 32 to 36 of the GDPR taking into account the nature of the processing and the information available to the Company;

12.4.7 at the choice of the Buyer, delete or return all the personal data to the Buyer after the end of the provision of services relating to processing, and delete existing copies unless EU law or the national law of an EU member state to which the Company is subject requires storage of the personal data;

12.4.8 make available to the Buyer all information necessary to demonstrate compliance with the obligations laid down in Article 28 of the GDPR and allow for and contribute to audits to the extent necessary to demonstrate compliance with such obligations, including inspections, conducted by the Buyer or another auditor mandated by the Buyer (in each case at the Buyer's cost).

12.5 In relation to the processing of personal data, certain clinical and biographical data concerning patients/customers of the Buyer will be processed by the Buyer for the purposes of services provided by the Buyer to those individuals and will be retained for so long as such services require. The Buyer shall be solely responsible for obtaining all necessary consents to the collection, processing and retention of such data, and for all aspects of data security. Any processing by the Company shall be limited to incidental access to such data by reason of providing the Services under this Agreement.
